Terms of Use

Last updated: [DATE] · Effective from: [DATE]

These Terms of Use (“Terms”) govern your access to and use of AgreeMake, the digital legal agreement platform operated by [Legal Entity Name Pty Ltd] (ABN [XX XXX XXX XXX]) trading as AgreeMake (“AgreeMake”, “we”, “us”, “our”). By creating an account or otherwise using AgreeMake, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. AgreeMake is not a law firm and does not provide legal advice

This is important, so we say it plainly: AgreeMake is not a law firm, does not provide legal advice, and does not create a lawyer-client relationship. Templates, AI-assisted drafting, and AI review are tools to help you put an agreement in writing — they are not a substitute for advice from a qualified legal professional about your specific circumstances. Any AI-drafted content is clearly labelled as AI-drafted and is never presented as having been drafted or reviewed by a lawyer unless you have specifically requested and received a qualified legal review through the platform.

If an agreement matters to you — because of its value, complexity, or consequences — we recommend obtaining independent legal advice before you sign.

2. Eligibility and your account

You must be at least 18 years old and capable of forming a legally binding contract to use AgreeMake. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you become aware of any unauthorised use of your account.

3. The service

AgreeMake lets you create agreements (by uploading your own document, building one with AI assistance, or starting from a saved or purchased template), invite another party to review and negotiate it, sign it electronically, and store it in your Library for future reference, reuse as a template, or grouping under a Matter. Some features (electronic signature, AI drafting and review, payment processing) are provided to you through third-party service providers, as described in our Privacy Policy.

4. Electronic signatures

Agreements signed through AgreeMake are executed using electronic signature technology provided by our e-signature partners. Under the Electronic Transactions Act 1999 (Cth) and corresponding state and territory legislation, an electronic signature validly applied through the platform is capable of being legally binding in the same way as a handwritten signature, subject to the requirements of the applicable law and the nature of the document being signed (some document types are not capable of valid electronic execution under Australian law, and it is your responsibility to confirm whether this applies to your agreement).

5. Your content

You retain ownership of the agreements, documents and other content you create, upload or store on AgreeMake (“Your Content”). You grant us a limited licence to host, store, process and display Your Content solely for the purpose of providing the service to you (and, where applicable, to a counterparty you have invited). You are responsible for ensuring you have the right to upload and share any content you submit, and that it does not infringe any third party’s rights or any applicable law.

6. AI-assisted features

Where you use “Build with AI” or AI review, content you submit is processed by our AI service provider to generate drafting suggestions or review output. AI-generated output may contain errors, omissions, or content that does not reflect your actual intentions or circumstances — you are responsible for reviewing, editing and confirming any AI-assisted content before you rely on it or send it to a counterparty for signature.

7. Fees and payment

Core account features are currently free to use. Certain features (such as AI credits) may require payment, processed securely through Stripe. If you are a listed professional receiving payouts through the platform, those payouts are also processed through Stripe. You are responsible for any taxes applicable to amounts you receive. We will give reasonable notice before introducing or changing any fees for features you are already using.

8. Qualified legal review

Where you request a qualified legal review of an agreement, that review is provided by an independent, appropriately qualified legal professional, not by AgreeMake. Any advice given as part of that review is the responsibility of the reviewing professional, not AgreeMake, and is subject to any separate terms, fees or engagement that professional requires.

9. Acceptable use

You agree not to use AgreeMake to:

  • create, send or store content that is unlawful, fraudulent, or infringes another person’s rights;
  • misrepresent an AI-drafted or AI-reviewed document as having been drafted or reviewed by a qualified lawyer;
  • attempt to interfere with, disrupt, or gain unauthorised access to the platform or other users’ accounts or content; or
  • use the platform in a way that could bring AgreeMake into disrepute or expose us to liability.

We may suspend or terminate your account if we reasonably believe you have breached these Terms.

10. Intellectual property

The AgreeMake platform, including its software, design, templates (other than Your Content) and branding, is owned by us or our licensors and protected by intellectual property law. Nothing in these Terms transfers any of our intellectual property to you, other than the limited right to use the platform as intended.

11. Disclaimers and limitation of liability

To the maximum extent permitted by law, AgreeMake is provided “as is” without warranties of any kind, and we do not warrant that the platform will be uninterrupted, error-free, or that any document created through it will be legally sufficient, enforceable, or suitable for your particular purpose. Nothing in these Terms excludes, restricts or modifies any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by law, our total liability to you arising out of or in connection with these Terms or your use of AgreeMake is limited to the amount you have paid us in the 12 months before the event giving rise to the claim, or, where you have not paid us anything, to re-supplying the relevant service.

12. Termination

You may close your account at any time. We may suspend or terminate your access to AgreeMake if you breach these Terms, or for any other reason on reasonable notice, except where immediate suspension is necessary to protect the platform or other users. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new “Last updated” date, and where changes are material, we will take reasonable steps to notify you before they take effect. Your continued use of AgreeMake after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of [State/Territory], Australia, and you submit to the non-exclusive jurisdiction of the courts of that State/Territory.
